Terms & Conditions for Service/Business Professionals

• Membership of Hello Professionals Service Private Limitedshall be on yearly basis and in advance. Membership Fee once paid after signing the membership form by the member shall not be returned/refunded to the members in any case and the member shall have no right/claim on the fee paid by the member at the time of registration. Also fee/charges for any services shall be paid by the member or non-member on monthly basis for continuous services and for one time services members /non-members shall pay one time full fee at the time of availing the services.
• Family here means husband ,wife and their unmarried kids only and relatives here means as defined under provisions of Section 2(41) of the I. Tax Act, 1961.
• Members can avail services as per rates displayed at website “ Hello Professionals.in”. The decision of the management of “Hello Professionals ( HPSPL)” will be final in case of any dispute between the member and the company ( HPSPL).
• The management of Hello Professionals can increase/revise the yearly membership fee at any time and members will have to pay the membership fee as per the discretion of the Hello Professionals Services Pvt. Ltd.
• Members can not use the name of the Hello Professionals ( HPSPL) for wrong or ulterior purpose. Discounts/offers of services will be eligible as per discretion of the company ( HPSPL).
• Hello professionals shall provide services like direct & indirect taxation i.e. Income tax ,Vat , Service tax, Excise & customs, Firm Registration/Company Registration/Trademark registration, Accountancy, Corporate law, Project consultancy, Project reports, Import & export licenses/Registration, Due diligence, Pre sanction appraisal/reporting to Banks/financial institutions (in case of Project loans/Working capital loans/Term loans, DSA)etc.
• Other professional services like legal services, Doctor’s services (medical), interior decorator services, architecture services, civil engineer’s services, Tutor’s services shall be provided directly by Service professional members registered with Hello professional as per the rates/charges given before each prescribed service at the Hello professional website and the Hello Professional will have no responsibility/liability for that . If any dispute arises between general member and service/business professional member than that will be resolved by the said parties between themselves and the Hello professional shall not have any liability/responsibility for that
• Hello Professional management has the right blocking member's profile without giving prior notice, if any complaints from the service professional/business professional like not responding to the CALL/SMS/EMAIL alerts incompetence, misappropriate behavior, non -payment of fee to service/business professional on completion of service
• “ Hello Professional. in” reserves all the rights to change all or any of these above mentioned Terms and Conditions with or without giving any prior notice at any time.
• The membersshall not be the employee of the “ Hello Professional. in” and all the tax liabilities under Goods and Service tax act, 2017& under income tax act, 1961 and other applicable acts shall be born by the memb.
• Qualified professionals may register themselves as expert and may submit articles for the website at the mail of the company. No fee or other charges shall be paid to experts for their articles or other contribution.
• HPSPL may empanel/hire any number of professionals/consultants for providing services to its members or non-members. The fee to be paid to the professionals/consultants shall be decided mutually between the company and the professionals/consultants as per written agreement. No professional shall.
• For the purposes of this document, the following expressions shall have the meanings hereby assigned to them except where the context otherwise requires:
• "Terms and Conditions" means the Terms and Conditions mentioned herein and applying to the annual membership and services to be provided by HPSPL also known as Online and offline services by Hello Professionals Services Pvt. Ltd. and as amended by the service provider from time to time.
• Member or service receiver means the any person ( Individual/HUF/LLP/Partnership firm/Company/Society/Trust/AOP or any other as defined in person’s definition who has registered with HPSPL by paying annual fee or other non-members receiving services from HPSPL
• "Service Provider" shall mean “Hello Professionals Services Pvt. Ltd” the entity or organization responsible for providing professional services to its regd. Members or non-members under an agreement for services.
• In order to register as annual member or to receive professional services from HPSPL, you must read and accept the Terms & Conditions.
• You may not modify copy, reproduce, republish, upload, post, transmit, or distribute, in any manner, the material on the site, including text, graphics, code and/or software.
• You may print and download portions of material from the different areas of the Site solely for your own non-commercial use, provided that you agree not to change or delete any copyright or proprietary notices from the materials.
• THE PORTAL is developed by Hello Professionals Services Pvt. Ltd., a company incorporated under the provisions of the companies Act, 2013 and having its registered office at 1924/38.C, Gandhi Nagar, Ludhiana and branch office at Main road Kailash Nagar, Nr. Luxmi colony, Gahlewal , P.O. Basti jodhewal, Ludhiana, Punjab, India.
• SERVICE PROVIDER will make available THE PORTAL for use by the REGISTERED USERS on the best efforts basis and will strive to maintain maximum uptime of the service provided by it.
• The SERVICE PROVIDER agrees to grant the VENDOR the right to access and use e-Procurement System on the terms set out herein and such other terms as may be specified by the DEPT from time to time.
• The member or person also recognizes and acknowledges that the Helloprofessional.in is being maintained and operated by the Service Provider under an agreement for services executed Company and its members or non-members. The Member or non-member hereby agrees and acknowledges that Service Provider shall not be responsible or liable for any damage or loss resulting from the use of the information/contents at the portal.
• The facility offered by Service Provider shall be non-transferable and the REGISTERED USER shall not assign, resell or commercially exploit the facility for others.
• THE PORTAL services being provided by Service Provider shall be subjected to all applicable government laws, rules and regulations. The registration of the users, member as the case may be, shall be at the sole discretion of Service Provider ( HPSPL ).
• The information given by the REGISTERED USERS is absolutely by and under his discretion and Service Provider will not verify or preserve any type of documentation in support of the information provided by the REGISTERED USER.
• REGISTERED USERS can always modify/update their profile as and when required at their discretion.
• SERVICE PROVIDER will provide the REGISTERED USER with Identity for access. The REGISTERED USER shall be responsible for all persons using THE PORTAL through the identity and all users of this account, whether or not authorized by him.
• SERVICE PROVIDER is and shall not be responsible for any misuse/misplacement and revealing of identity and password to the unauthorized persons and its subsequent effect from the REGISTERED USERS.
• A REGISTERED USER is entitled to terminate his account on giving a 30 days advance notice and not entitled to claim any other compensation for any services to be provided by Service Provider and the termination is effective from the expiry date of the notice. SERVICE PROVIDER shall be entitled to terminate the registration of any REGISTERED USER at any time without the need to assign any reason, by giving 30 days prior notice in writing to the concerned REGISTERED USER and the termination shall be effective on expiry of the notice period
• Annual Registration charges one received by service provider from Registered member are non refundable. However, if any double payment is received by service provider it shall be returned to him/her within 15 days
• SERVICE PROVIDER may in its absolute discretion discontinue THE PORTAL or amalgamate THE PORTAL with another PORTAL at any time without taking the consent from the REGISTERED members.
• Notwithstanding any investigation or inquiry which SERVICE PROVIDER may in its discretion undertake, the REGISTERED USER acknowledge and accept that Service Provider is only a service provider and shall not in way be responsible or liable for any breach or failure on the part of the REGISTERED USER.
• SERVICE PROVIDER makes no warranty that THE PORTAL will be available uninterrupted or timely or error free or otherwise assume any responsibility for any delayed transmission or the deletion or failure to store data or for any consequential loss or damage thereupon.
• SERVICE PROVIDER, its directors, officers, employees, agent and representatives shall not be liable for any direct, indirect, incidental, special, punitive or consequential damages, resulting from the use of THE PORTAL or services provided by service providers to its members or non-members.
• Depending upon the requirement/situations SERVICE PROVIDER may change, modify, alter, update the features or flow of PORTAL or adopt a new Internet technology without taking the consent of the REGISTERED members.
• SERVICE PROVIDER shall be entitled to vary the fees mentioned at the portal for annual membership or services charges for both members and non-members from time to time without taking consent of members or other persons. The renewal of the registration of REGISTERED member shall be subject to the payment of the periodic amount as specified within the scheduled time frame.
• The member or non-member who receives services from Hello Professionals pvt. Ltd. ( Being the Service Provider ) hereby agrees to indemnify and hold the SERVICE PROVIDER harmless against all damages, losses, costs (including legal costs), expenses and liabilities suffered or incurred by the Service provider or its employees arising out of or referable to any claims, suits or proceedings brought against the member/non-member by third parties.
• The SERVICE PROVIDER shall not be liable in any way for any damages, losses, costs, expenses, liabilities or compensation, whether direct or indirect, which arise from or are referable to, regardless of the form of action, any breach of services, delay in services by service provider, corruption or destruction of data or systems of service receiver by the any staff or employees of the service provider .
• THE PORTAL shall be controlled by SERVICE PROVIDER and the applicable law shall be Indian Law. The registered user/member shall agree and hereby submit to the exclusive jurisdiction of the appropriate court within the territory of Ludhiana in respect of any dispute or difference with SERVICE PROVIDER.
• The Copyright on THE PORTAL shall exclusively vest in Hello Professionals Services Pvt. Ltd.. The REGISTERED USER hereby agrees that use of THE PORTAL is at the user's sole risk and THE PORTAL is provided on an "as is" and "as available" basis.
